Lada Communications, Inc. Annual meeting of Directors.
The undersigned, being all Directors of LADA COMMUNICATIONS, INC. a
Florida Corporation (the "Corporation") in lieu of the annual meeting of
the Directors, do hereby take the following actions in the name of and on
behalf of the Corporation:
Lada Communications, Inc and Universal Group and its affiliates:
UniversalCall (UC), UGinteractive (UGi) and UniGroup Network (UGN)
announce a merger of all operations. This is a tremendous opportunity for
leveraging the core competencies of both companies. Universal Group has a
well recognized brand in the Filipino market and the natural synergies
that exist could not be ignored adds, Lada Communications, Inc. President and CEO Jorge E. Olazabal. This merger allows Lada Communications,
Inc to expand aggressively into the Asian Pacific region as well as offer
innovative products and solutions across our entire global footprint.
Felix Medina served as the CEO and President of the Universal Group of companies
and is joining Lada Communications, Inc as Sr VP and Partner

Resolved, that Dave Estep is appointed Chief Operating Officer of the company effective immediately.

Resolved, that Felix Medina is appointed Senior Vice President of the corporation and Jorge E. Olazabal is appointed President and CEO of the corporation effective immediately.
